Terms & Conditions

NexLade Private Limited
Effective Date: August 2026 | Version 1.0

1. Introduction
These Terms & Conditions govern your use of the NexLade website and our creative production services. By accessing our website, submitting an enquiry, or engaging our services, you agree to these Terms.

Project-specific agreements, approved quotations, proposals, and signed contracts will take precedence over these general Terms where they address the same matter inconsistently.

2. Our Services

  • Corporate films and brand films
  • Advertising films and commercials
  • Product and industrial videos
  • 3D architectural walkthroughs
  • Animation and motion graphics
  • Event films and photography
  • Video editing and post-production
  • Creative concept development and storyboarding

The exact services, deliverables, timelines, and costs will be defined in the approved project proposal or agreement.

3. Website Usage
You agree to use our website only for lawful purposes. You must not attempt unauthorized access, introduce malicious software, misuse website content, infringe intellectual property rights, or interfere with website security and functionality.

NexLade may restrict access where necessary to protect its website, users, or legal rights.

4. Intellectual Property
All content on the NexLade website, including logos, videos, images, graphics, text, and creative materials, is owned by NexLade or used with appropriate permission. Such content may not be copied, distributed, modified, or commercially used without authorization.

Ownership and usage rights for project deliverables will be governed by the relevant project agreement. Unless otherwise agreed in writing, rights in final approved deliverables will be transferred or licensed only after full payment and subject to third-party licence restrictions.

Raw footage, source files, editable files, drafts, and unused concepts are not automatically included in the final delivery.

5. Client Responsibilities
Clients agree to:

  • Provide accurate project information and required materials.
  • Ensure they have the necessary rights and permissions for supplied content.
  • Provide timely feedback, approvals, and decisions.
  • Arrange required access to locations, products, and personnel.
  • Make payments according to the agreed schedule.

Delays in approvals, materials, payments, or access may affect project timelines and delivery dates.

6. Project Scope, Revisions and Changes
Each project will follow its approved proposal, quotation, or agreement. Changes to the approved concept, script, deliverables, production requirements, or schedule may result in additional costs or revised timelines.

The number of included revision rounds will be specified in the project agreement. Major changes to an approved creative direction may be treated as additional work.

Once final deliverables are approved, further changes may incur additional charges.

7. Payments and Expenses
Payment schedules, advances, milestones, and final payments will be specified in the relevant quotation or agreement.

Applicable taxes and additional expenses, including travel, accommodation, equipment, talent, locations, and third-party licences, will be charged as agreed.

For overdue payments, NexLade may pause work or withhold final delivery where permitted by the agreement and applicable law. Reasonable non-refundable costs already incurred may remain payable if a project is cancelled or rescheduled.

8. Production Timelines
NexLade will make reasonable efforts to deliver projects according to agreed timelines. Delays may arise from client approvals, weather, location access, supplier availability, scope changes, or circumstances beyond our reasonable control.

Where production conditions are unsafe or impractical, filming may be postponed and rescheduled according to the project agreement.

9. Portfolio and Promotional Use
Subject to client agreements, confidentiality obligations, and applicable third-party rights, NexLade may showcase selected completed projects in its portfolio, website, presentations, and promotional materials.

Clients requiring confidentiality, an embargo, or restrictions on public display should communicate these requirements and obtain written confirmation before the project begins or before the relevant material is published.

10. Confidentiality and Privacy
Both NexLade and its clients should take reasonable steps to protect confidential business, financial, technical, and creative information received during a project.

Personal information will be handled in accordance with NexLade’s Privacy Policy and applicable law. Where a separate Non-Disclosure Agreement (NDA) applies, its terms will govern the matters covered by that agreement.

11. Third-Party Materials
Music, fonts, stock footage, software assets, and other third-party materials remain subject to their respective licence terms. Reuse beyond the agreed scope may require additional permissions or fees.

Clients are responsible for obtaining permissions for materials they supply where that responsibility has been assigned to them.

12. Disclaimers and Liability
NexLade will exercise reasonable professional care when delivering its services but cannot guarantee specific commercial, financial, marketing, or audience outcomes unless expressly agreed in writing.

To the extent permitted by applicable law, NexLade will not be liable for indirect or consequential losses, including loss of profits, revenue, business opportunities, or goodwill. Nothing in these Terms limits liability that cannot legally be excluded.

13. Cancellation and Termination
If a client cancels a project after work has started, payment may be required for completed work, approved expenses, committed resources, and non-refundable third-party costs incurred up to cancellation.

NexLade may suspend or terminate services for material contractual breaches, non-payment, unlawful use of materials, or serious safety or legal concerns, subject to the applicable agreement and law.

14. Force Majeure
Neither party will be held responsible for delays caused by circumstances beyond reasonable control, including natural disasters, severe weather, government restrictions, public emergencies, or major infrastructure failures. Both parties will make reasonable efforts to communicate and agree on appropriate next steps.

15. Governing Law and Disputes
These Terms are governed by the applicable laws of India. Any disputes will be handled by the competent courts having jurisdiction, subject to applicable law and any valid project-specific agreement.

Both parties are encouraged to attempt to resolve disputes through good-faith communication before initiating formal proceedings, unless urgent legal action is necessary.

16. Changes to These Terms
NexLade may update these Terms to reflect changes in its services, business practices, or applicable laws. The latest version will be published on our official website with the revised date.

Changes to these general Terms will not automatically override an existing project agreement unless the parties agree otherwise or applicable law requires it.
